1. brief overview of how the gmac® GET THE EDGE INSTANT WIN GAME & SWEEPSTAKES PROMOTION works: The Promotion consists of an Instant Win Game ("Game") that starts at 12:00:01 A.M., ET on 6/2/08 and ends at 11:59:59 P.M, ET on 3/31/09, or when all Game prizes have been awarded, whichever is earlier ("Game Period"), and a Sweepstakes ("Sweepstakes") that starts at 12:00:01 A.M., ET on 6/2/08 and ends at 11:59:59 P.M, ET on 3/31/09 ("Sweepstakes Period"). Collectively, the Game Period and Sweepstakes Period will be referred to as the "Promotion Period". Each day that you sign-on to the website during the Promotion Period and follow the instructions, you will receive one (1) opportunity to play the Game and one automatic (1) entry into the Sweepstakes. Regardless of the email address you use, you may only play the Game (sometimes referred to as "Game Play") once each day throughout the Promotion Period. You may only win one (1) Instant Win Game prize throughout the Promotion Period. A Sweepstakes random drawing will be held on or about 4/3/09 to award the Sweepstakes Grand Prize and First Prize. A day will be deemed to start at 12:00:01 A.M., ET and end at 11:59:59 P.M. of a calendar day. The computer of the independent web design agency administering this Promotion, PrizeLogic LLC ("PrizeLogic"), shall be deemed to be the official Promotion clock.

2. GAME: (A) HOW TO PLAY: To Play the Game: Visit www.smartedgebygmac.com ("website"), click the link to the "Get The Edge" promotion, and enter your email address. Select one (1) building in the GMAC Financial Business Park, i.e. Automotive Financing, Banking, Insurance, or Mortgages, that you wish to enter by clicking on that building. You may either answer two (2) questions about that building's subject or after you have answered one (1) question about that building's subject, you may click to enter another building and answer one (1) question about the second building's subject. After you have answered two (2) questions, the Game will be unlocked and you can follow the instructions to play the Game. Register by completing all of the requested information, e.g., your name, complete address, date of birth, home phone number, email address, and the Special Code found on your Game card. NOTE: If you do not have a Game card containing a Special Code, follow the online instructions to obtain a Special Code that will grant you access to play the Game. After you have successfully registered, you will automatically receive one (1) Game Play and one (1) entry into the Sweepstakes. You will then see a screen displaying four (4) GMAC building icons. Click all four (4) of the GMAC building icons to see if three (3) Exxon® Mobil® Cash Cards are revealed. If three (3) Exxon® Mobil® Cash Cards are revealed, you will receive an email informing that you are a potential winner, pending verification of your Game Play. In order for your Game Play to result in your being a potential winner, it must have occurred either at the exact randomly predetermined winning time as determined by GMAC ("Sponsor") and/or PrizeLogic, or if no Game Play has occurred at the exact randomly predetermined winning time, then by the Game Play that occurred at the closest time immediately following the randomly predetermined winning time. All winning Game Plays and winners are subject to verification and compliance with these Official Rules as determined by PrizeLogic, whose decisions are final and binding in all matters pertaining to this Promotion. Whether or not you are a winner; you can come back the next day to play the Game and receive an automatic entry into the Sweepstakes. NOTE: If you play the Game after all the winning Game Plays have already occurred, a message will appear stating"All of this month's Game Prizes have already Been Won, But you can play the game today anyway to receive an entry for a chance to win a Sweepstakes prize." Limits: One Game Play per person per day regardless of email address used. Neither you nor a member of your household may win more than one Game Prize throughout the Game Period, regardless of email address used.

3. INSTANT WIN GAME PRIZES & ODDS OF WINNING: (A) PRIZES: A total of Two Thousand (2,000) Game Prizes are available to be won in the Game, approximately Two Hundred (200) Game Prizes per month. Game Prize: A Twenty-Five ($25) Dollar Exxon® Mobil® Cash Card. Cash Card must be used in compliance with its terms and conditions and as allowed by law. GMAC ("Sponsor") is not responsible for lost, stolen or misplaced Cash Cards. NOTE: Prizes will be shipped to Game Winners after verification of Game Play. Prizes are not redeemable for cash and they are not transferable or substitutable, except by Sponsor with one of equal or greater value. All costs and expenses, including any federal, state, or local taxes, are the sole responsibility of each Winner. (B) ODDS OF WINNING: Odds of winning depend on the date and time of Game play and the number of eligible Game Plays made during that month.

4. SWEEPSTAKES: HOW TO enter/ prizes/ & odds of winning: (A) HOW TO ENTER: Each time you play the Game, you will receive an automatic entry into the Sweepstakes. On or about 4/3/09, a random drawing will be held to select the potential Sweepstakes Winners from among the total number of all eligible entries received during the Promotion Period. The drawing will be conducted by PrizeLogic and its decisions will be final. The potential Winners will be notified by email and courier within two weeks of the drawing. (B) PRIZES: Grand Prize (1): A 2009 Pontiac® G6 Coupe with a Major Guard Extended Warranty Plan from General Motors® Protection Plan and Six Thousand Dollars that Winner may use towards applicable taxes ($6,000). Total ARV: not to exceed $33,000. First Prize (1): A 2009 Chevrolet® Cobalt ® with a Major Guard Extended Warranty Plan from General Motors® Protection Plan and Six Thousand Dollars that Winner may use towards applicable taxes ($6,000). Total ARV: not to exceed $28,000. NOTE: If the actual value of the Prize won is less than the stated approximate retail value, the Winner is not entitled to the difference in cash. All other costs and expenses, including the costs of licensing, registration & title fees, emission inspection charges, options/upgrade packages, collision & liability insurance, and all other expenses, e.g. federal, state, and local sales and/or use taxes, etc. are solely the responsibility of the respective Winner. Vehicle shown in any promotional materials are for illustration purposes only; vehicle awarded to the Winner may differ. All vehicle features will be as determined by Sponsor. The Winner must provide valid driver's license and proof of insurance upon delivery of vehicle, and take delivery of vehicle at a dealership designated by Sponsor within two (2) months of the award of the Prize or the Prize will be forfeited in its entirety and Sponsor shall have no further responsibility. Other restrictions may apply. Sponsor is not responsible for any inability of the Winner to accept or utilize the Prize. Potential Sweepstakes Winners will be required to sign and return an additional Affidavit of Eligibility/Compliance (including their Social Security Number for tax purposes) and a Publicity/Liability Release by the return date specified in the prize notification letter, or s/he will forfeit his/her respective Prize. In the event of such a forfeiture, or if a potential Winner is unreachable, the prize notification letter is returned as undeliverable, or if a potential Winner declines acceptance of the Prize, Sponsor will select and contact a maximum of three (3) alternate potential Winners in a random drawing to attempt to award the respective Prize. Sweepstakes Winners will be issued a Form 1099, as required by the Internal Revenue Service, in the amount of the actual retail price of the Prize. The Prize is not transferable, redeemable for cash, or substitutable except by Sponsor with a prize of equal or greater value. LIMIT: One Sweepstakes Prize per household address. (C) ODDS OF WINNING: The odds of winning depend upon the number of eligible entries received throughout the Promotion Period.

5. TELL-A-FRIEND: You may follow the instructions to refer up to five (5) friends with whom you have an existing relationship and who you think would be interested in receiving an email and participating in the Promotion.

6. ELIGIBILITY: All legal residents of the 50 United States and District of Columbia, 18 years and older as of time of entry, with a valid drivers license, are eligible to enter the Sweepstakes except persons who are officers, directors, or employees (and members of household or their immediate family, i.e. spouse, parent, child, or sibling and their household members) of Sponsor; its affiliates, subsidiaries, their respective advertising, promotion and web design agencies, including PrizeLogic, Pulse Marketing, Equilibrium, and other individuals/entities associated with this Promotion are not eligible to enter or win.

LIMITATIONS OF LIABILITY: Sponsor, its affiliates, subsidiaries, advertising and promotion agencies, and all other individuals or entities involved in the creation, administration, or fulfillment of this Promotion, and their respective directors, officers, employees, and agents (all of the former collectively referred to as "Sponsor & Others"), are not responsible for illegible, lost, late, incomplete, stolen, misdirected postage due, or undeliverable, email, or postal mail; or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/web site/use net accessibility, availability, or traffic congestion, or any technical error, or unauthorized human intervention, or the incorrect or inaccurate capture of registration information, or the failure to capture, or loss of, any such information. Sponsor & Others are not responsible for any incorrect or inaccurate information, whether caused by web site users or any web site users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Promotion and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to any web site(s). Sponsor & Others are not responsible for any injury or damage, whether personal or property, to participants' or to any person's computer related to or resulting from participating in this Promotion. If, for any reason, the Promotion is not capable of running as planned, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion and/or proceed with the Promotion in a manner deemed fair and appropriate by Sponsor. SPONSOR MAKES NO WARRANTIES OTHER THAN THOSE ACCOMPANYING THE PRODUCT BEING AWARDED AS THE PRIZE. IN NO EVENT WILL SPONSOR & OTHERS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, OR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THIS PROMOTION OR ACCEPTANCE OF ANY PRIZE.

PRIVACY POLICY: Any personally identifiable information collected during an entrant's participation in this Promotion will be collected by Sponsor and used by Sponsor, its affiliates, agents and marketers for purposes of the proper administration and fulfillment of the Promotion as described in these Official Rules and in accordance with Sponsor's Privacy Policy as such are stated at http://www.gmacfs.com/us/en/privacy_policy.html.

9. PUBLICITY RIGHTS: By accepting a Prize, Prize Winners agree to allow Sponsor and/or Sponsor's designee the perpetual right to use their name, photos and/or likeness, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, world wide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.

10. GENERAL: By entering this Promotion, participants agree to abide by these Official Rules. In no event will more Prizes be awarded than are stated in these Official Rules. In the event that due to technical, mechanical or other errors, there are more potential Game Prize winners than are stated in these Official Rules, a random drawing among the claimants will be held to determine the winners. All federal, state and local laws and regulations apply. In the event of a dispute as to the identity of a winner based on an email address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted email address. Sponsor reserves the right, to disqualify any individual found, in its sole opinion, to be tampering with the operation of the Promotion; to be acting in violation of these Official Rules; or to be acting with the intent to disrupt the normal operation of this Promotion. Any use of robotic, automatic, macro, programmed, third party or like methods to participate in the Promotion will void any attempted participation effected by such methods and the disqualification of the individual utilizing the same. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF the PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. The interpretation of these Official Rules shall be governed by the laws of the State of Michigan. Any and all disputes will be resolved individually, without resort to class action, in the appropriate courts in the State of Michigan exclusively, and subject to the laws of the State of Michigan. Should there be a conflict between the laws of the State of Michigan and any other laws, the conflict will be resolved in favor of the laws of the State of Michigan. All federal, state, and local laws apply. All entries become property of Sponsor and will not be returned. Void in PR and where prohibited by law.
